Acceptance and Effectiveness
This Terms of Service Agreement (the "Agreement") is entered into between you ("User" or "you") and VmMac ("we" or "the Platform") and is legally binding on both parties.
You are deemed to have fully read, understood, and accepted all terms of this Agreement by any of the following actions:
- Clicking "Agree", "Confirm", or similar buttons on registration, login, or checkout pages;
- Accessing, browsing, or using any services provided by this Platform in any manner;
- Completing the account registration process.
If you do not agree to any term of this Agreement, please immediately stop using all services.Minors may not register for or use this service.
Services
VmMac provides cloud server rental and related services based on Apple Silicon (Mac Mini M4) hardware, including but not limited to:
- Dedicated physical server rental (billed daily / weekly / monthly / quarterly)
- SSH remote terminal access
- VNC graphical remote desktop
- Network connectivity and bandwidth resources
- Basic technical support
We reserve the right to modify, add, or discontinue service features at any time without prior notice and without liability for any resulting losses. The actual services provided by the Platform shall prevail.
Account Registration & Security
3.1 Registration Requirements
You must provide truthful, accurate, and complete registration information and keep it current. You are solely responsible for any consequences arising from false information. Each user may only register and maintain one account.
3.2 Account Security
You are responsible for keeping your account password and credentials secure. All actions performed under your account are deemed to be your own, and you bear the corresponding legal liability. If you discover unauthorized account access, please notify us immediately via a support ticket; however, we are not responsible for actions that occurred before you reported the breach.
3.3 Account Transfer Restrictions
Without our prior written consent, you may not transfer, lend, lease, or otherwise grant access to your account or associated benefits to any third party. Violations will result in immediate account suspension without refund of paid fees.
Acceptable Use & Prohibited Activities
You agree to use the service only for lawful purposes and in compliance with all applicable laws and regulations.The following activities are strictly prohibited. Violations will result in immediate account suspension without refund:
- Engaging in any activity that violates the laws or regulations of any country or jurisdiction
- Launching network attacks, DDoS attacks, port scans, or intrusions into third-party systems
- Sending spam or conducting phishing activities
- Distributing malware, viruses, ransomware, or similar harmful programs
- Unauthorized cryptocurrency mining
- Operating proxies, VPNs, or traffic relay services without written authorization
- Infringing the intellectual property, privacy, or other legal rights of third parties
- Engaging in any activity that may harm the Platform's infrastructure, network stability, or other users' interests
- Circumventing or attempting to circumvent any security measures or technical restrictions of the Platform
Payment & Billing
5.1 Billing
All fees are denominated in USD and must be paid in advance before service begins. The billing cycle you select (daily / weekly / monthly / quarterly) is final and cannot be changed to a shorter cycle. All paid fees are non-refundable.
5.2 Auto-renewal
Unless you disable auto-renewal in the console before the end of the current billing cycle, the service will automatically renew and charge for the same period.
5.3 Price Changes
We reserve the right to adjust service pricing. Prices for existing subscription cycles are not affected; new prices take effect from the next billing cycle.
5.4 Taxes
All displayed prices are exclusive of applicable taxes. You are solely responsible for all tax obligations arising from your use of the service.
Service Level & Availability
6.1 Availability Target
We are committed to providing stable and reliable service, targeting a monthly network availability of 99.0%(excluding scheduled maintenance and force majeure events). This is a best-effort target and does not constitute a legally binding service commitment.
6.2 Scheduled Maintenance
We will endeavor to provide advance notice of scheduled maintenance windows, but reserve the right to perform emergency maintenance without notice. Unavailability during maintenance periods is not counted toward SLA calculations.
6.3 Resource Usage
Your server has defined resource specifications (CPU, memory, storage, bandwidth). If your usage unreasonably impacts the shared network or other users, we reserve the right to limit or suspend related resource usage without notice.
Data & Backup Responsibility
Data backup is entirely the user's responsibility.We do not provide automatic backup services and accept no liability for data loss, corruption, or unrecoverability for any reason, including but not limited to:
- Hardware failure or accidental damage
- Deletion of data following service termination or account suspension
- Data loss caused by user error or software defects
- Natural disasters or other force majeure events
Upon account expiry or termination, all data on the server will be permanently and irrecoverably deleted within 72 hours. Please ensure you migrate your data before the service expires.
Intellectual Property
All content on the VmMac platform—including but not limited to website design, interface elements, text, graphics, logos, software code, APIs, and documentation—is the exclusive property of VmMac and is protected by Chinese and international intellectual property laws. Reproduction, modification, distribution, or creation of derivative works in any form without written authorization is prohibited.
You retain ownership of any content stored on your server. You grant us a limited, non-exclusive license to process, transmit, and store your content to the extent necessary to provide the services.
You grant us the right to use your service usage data in an anonymized, aggregated manner to improve platform performance, conduct technical research, and optimize services.
Disclaimer
To the fullest extent permitted by law, VmMac expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We accept no responsibility for:
- Service unavailability caused by partial or complete Internet or carrier network outages
- Service interruptions caused by force majeure events (including natural disasters, war, government regulations, epidemics, etc.)
- Failures or service changes by third-party providers (including payment processors and upstream network providers)
- Hacker attacks, network intrusions, or other malicious third-party actions
- Data loss or system damage caused by the user's own improper operation
- Any third-party claims arising from content you store on the server
- Suspension or termination of service in compliance with lawful orders from government or judicial authorities
Limitation of Liability
In no event shall VmMac's total cumulative liability for all claims, losses, or damages arising under this Agreement or related to the services exceed the fees actually paid by you to us during the most recent calendar monthprior to the event giving rise to the claim.
VmMac shall not be liable for any of the following types of loss, regardless of whether it has been advised of the possibility of such loss:
- Indirect, incidental, special, or punitive damages
- Loss of profits, business opportunities, goodwill, or data
- Losses caused by business interruption
Some jurisdictions do not allow the limitation of liability for certain types of losses; in such cases the above limitations apply only to the maximum extent permitted by law.
Service Suspension & Termination
11.1 User-initiated Termination
You may terminate the service at any time by disabling auto-renewal in the console. The service will stop at the end of the current billing cycle; paid fees are non-refundable.
11.2 Platform Termination Rights
We reserve the right to immediately suspend or permanently terminate your service without prior notice and without refund of paid fees in the following circumstances:
- Violation of any prohibited activity listed in Section 4 of this Agreement
- Outstanding billing balance unpaid for more than 72 hours
- Account suspected of fraud or used for illegal purposes
- Compliance with legal requirements or lawful orders from law enforcement
- User activity causing significant impact on the Platform's infrastructure or other users
11.3 Data Deletion
Following service termination, we will permanently delete all server data associated with the account within 72 hours. This action is irreversible.
Amendments
We reserve the right to amend this Agreement at any time. Updated terms will be published on this page with a revised "Last Updated" date.Your continued use of the service after amendments are published constitutes acceptance of the revised terms.If you do not accept the changes, you should stop using the service before they take effect; however, the service you have already purchased for the current billing cycle remains governed by the prior terms.
Dispute Resolution & Jurisdiction
13.1 Negotiation First
In the event of any dispute, both parties should first attempt to resolve it through friendly negotiation. You may contact us via the ticket system; we will respond within 5 business days.
13.2 Governing Law & Jurisdiction
The formation, validity, interpretation, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China (excluding its conflict-of-law rules). If negotiation fails, disputes shall be submitted to the competent People's Court at the location of the Platform's operating entity.
13.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
